Terms of Service

Welcome to Invo Prep. These Terms of Service ("Terms") govern your access to and use of the website, platform, products, services, content, and related features provided through https://invoprep.com and any related pages or applications (collectively, the "Service").

The Service is operated by AURA EDUCACAO TECNOLOGIA LTDA, a company organized under the laws of Brazil, registered under CNPJ 63.854.028/0001-06 ("Invo Prep," "we," "us," or "our").

By creating an account, subscribing, accessing, or using the Service, you agree to these Terms. If you do not agree to these Terms, you must not use the Service.

1. About Invo Prep

Invo Prep is an educational platform designed to help users practice for the GMAT™ exam through adaptive practice, generated questions, performance tracking, and related study tools.

The questions and explanations available through Invo Prep are generated, reviewed, organized, or delivered through our own systems and/or third-party artificial intelligence providers. Invo Prep does not use official GMAT™ exam questions unless expressly stated.

Invo Prep is an independent educational service. It is not affiliated with, endorsed by, sponsored by, or approved by the Graduate Management Admission Council (GMAC), the owner of the GMAT™ exam and related marks.

2. Eligibility

You must be at least 18 years old to create an account or use the Service.

By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Account Registration

To use certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep that information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must not:

• share your account with another person;
• allow another person to access the Service using your login credentials;
• create accounts using false or misleading information;
• attempt to access another user's account;
• use the Service for any unlawful, abusive, fraudulent, or unauthorized purpose.

If you believe your account has been compromised, contact us immediately at support@invoprep.com.

4. Authentication and Third-Party Services

Account authentication may be provided through email/password login, Google login, or other authentication methods made available through our service providers, including Supabase.

Your use of third-party authentication, payment, hosting, analytics, or artificial intelligence services may also be subject to those providers' own terms and privacy policies.

5. Subscriptions, Billing, and Automatic Renewal

Some features of the Service may require a paid subscription.

Paid subscriptions are billed through Stripe or another payment provider we may use in the future. We do not directly store your full credit card number or complete payment credentials.

By purchasing a subscription, you authorize us and our payment provider to charge the applicable subscription fees, taxes, and other charges to your selected payment method.

Unless canceled before the next billing date, subscriptions renew automatically at the end of each billing cycle. You are responsible for canceling your subscription before renewal if you do not want to be charged for the next billing period.

If you cancel your subscription, your access to paid features will generally remain active until the end of the paid billing period, unless otherwise stated or required by law.

6. Prices, Offers, and Changes to Plans

We may offer different subscription plans, discounts, promotions, referral offers, early-user offers, or other commercial arrangements.

We reserve the right to modify, add, remove, suspend, or discontinue any plan, feature, offer, price, promotion, or discount at any time.

Price changes will not affect charges already paid for a current billing period, but may apply to future billing periods. Where required, we will provide reasonable notice before material pricing changes take effect.

Promotional offers may be limited by time, eligibility, geography, account type, or other conditions. We may modify or withdraw promotional offers at our discretion.

7. Refund Policy

Our refund policy is available separately and forms part of these Terms.

In summary, we offer a 7-day refund period for the first payment of a subscription. After that first payment, subscription charges are generally non-refundable. If a user cancels after the refund period or after a later renewal, the account will remain active until the end of the paid billing period.

8. Educational Use Only

The Service is provided for educational and study purposes only.

Invo Prep does not guarantee:

• any specific GMAT™ exam score;
• any improvement in test performance;
• admission to any school or program;
• any academic, professional, or financial result;
• that all questions, explanations, recommendations, or AI-generated answers will be complete, accurate, current, or error-free.

Your progress depends on many factors, including your prior knowledge, study habits, consistency, exam-day conditions, and other circumstances outside our control.

9. AI-Generated Content and AI Tutor

The Service may include features that use artificial intelligence, including AI-generated explanations, adaptive recommendations, practice questions, answer feedback, and an AI tutor.

AI-generated content may sometimes be incomplete, inaccurate, misleading, outdated, or not suitable for your specific situation. You are responsible for evaluating the content and using your own judgment.

You must not submit sensitive personal information, confidential information, financial information, health information, passwords, government identification numbers, or other highly private information to the AI tutor or other free-text input fields.

We may use third-party AI providers, including OpenAI, Anthropic, or other providers, to process certain prompts, questions, explanations, and related inputs or outputs in order to operate the Service.

10. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own personal educational purposes.

This license does not allow you to copy, reproduce, distribute, sell, sublicense, publicly display, publish, scrape, download in bulk, reverse engineer, or commercially exploit the Service or its content.

11. Ownership and Intellectual Property

The Service, including its software, design, interface, adaptive algorithms, question database, generated questions, explanations, learning paths, branding, logos, text, graphics, and other content, is owned by Invo Prep or its licensors and is protected by intellectual property laws.

Except for the limited license expressly granted in these Terms, no rights are transferred to you.

You may use the questions, explanations, and learning materials only within the Service for your own personal study. You may not reproduce, publish, share, resell, upload, distribute, create competing datasets from, or otherwise exploit the content outside the platform.

If you upload a profile photo or submit content to the Service, you retain ownership of your content. You grant us a limited license to host, display, process, and use that content as necessary to provide and operate the Service.

12. Restrictions on Use

You agree not to:

• share, sell, rent, lend, or transfer your account;
• copy, scrape, download, or extract questions, explanations, or other platform content in bulk;
• use the Service to build, train, benchmark, or improve a competing product or dataset;
• reverse engineer, decompile, disassemble, or attempt to discover the source code, algorithms, models, or underlying structure of the Service;
• interfere with or disrupt the security, integrity, or performance of the Service;
• attempt to bypass payment, access controls, rate limits, or security measures;
• upload malicious code, spam, or harmful content;
• use automated systems, bots, crawlers, scrapers, or similar tools without our prior written permission;
• misrepresent your identity or affiliation;
• use the Service in violation of applicable law.

We may suspend or terminate accounts that violate these restrictions.

13. User Feedback

If you provide suggestions, ideas, feedback, or recommendations about the Service, you grant us the right to use that feedback without restriction and without compensation to you.

14. Availability and Changes to the Service

We may modify, suspend, discontinue, or limit any part of the Service at any time, including features, question types, explanations, algorithms, AI tools, pricing, plans, and availability.

We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free. We may perform maintenance, updates, or changes that temporarily affect access.

15. Account Suspension and Termination

We may suspend or terminate your access to the Service if we believe that:

• you violated these Terms;
• your account is being used fraudulently, abusively, or unlawfully;
• you are sharing your account;
• you are attempting to scrape, copy, resell, or exploit platform content;
• your use creates risk for us, other users, or third-party providers;
• we are required to do so by law or by a service provider.

You may stop using the Service at any time and may request account deletion by contacting support@invoprep.com.

Termination does not affect rights or obligations that reasonably should survive termination, including intellectual property rights, payment obligations, disclaimers, limitations of liability, and dispute resolution provisions.

16. Privacy

Our Privacy Policy explains how we collect, use, store, share, and protect personal data. By using the Service, you acknowledge our Privacy Policy.

17. Disclaimers

The Service is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

We do not warrant that:

• the Service will meet your expectations;
• the Service will be uninterrupted or error-free;
• all content will be accurate, complete, or current;
• AI-generated explanations or recommendations will always be correct;
• using the Service will produce a particular score or result.

18. Limitation of Liability

To the maximum extent permitted by law, Invo Prep, AURA EDUCACAO TECNOLOGIA LTDA, its owners, officers, employees, contractors, partners, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, business interruption, academic outcomes, exam performance, or admissions results.

To the maximum extent permitted by law, our total liability for any claim related to the Service will be limited to the amount you paid to us for the Service in the three months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

19. Indemnification

You agree to indemnify and hold harmless Invo Prep, AURA EDUCACAO TECNOLOGIA LTDA, its owners, officers, employees, contractors, partners, and service providers from any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from or related to:

• your use of the Service;
• your violation of these Terms;
• your violation of applicable law;
• your violation of third-party rights;
• your misuse of platform content;
• your account sharing or unauthorized account use.

20. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will take reasonable steps to notify users, such as by updating the effective date, posting a notice on the website, or sending an email.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and cancel any active subscription before the next renewal date.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of Brazil.

Any dispute arising from or related to these Terms or the Service will be submitted to the courts of the city of São Paulo, State of São Paulo, Brazil, unless applicable law requires a different venue.
